A Statement is the general term for any document —provisional or final — that records amounts owed or paid in connection with an Order, Tranche or Commitment. The legal, accounting, or tax nature of a Statement may vary depending on the contract, the nature of the deliveries, and the applicable remuneration structure.

A Statement is not a legally binding invoice, unless it is expressly designated as an Invoice.

Examples of Statements include, without limitation:

• invoices for products or services delivered to a Client,
• salary or remuneration statements for employees or contributors,
• interest or principal repayment statements for financial commitments,
• dividend distribution or securities buyback statements,
• tax or contribution statements due to public entities.

Two specific types of Statement:

• A Proforma is a provisional, non-binding Statement.
• An Invoice is a final, binding Statement indicating the exact amount due.
